The charter of organisation and operation of HCM VIF JSC (HCM VIF JSC) regulates the organisational structure, authority of administrative agencies and company operating principles according to the Enterprise Law.

Scope of Articles edit

The document applies to all activities of the company: charter capital contribution, authority to decide on investment, profit distribution, reporting regime and obligation to disclose information to shareholders and management agencies.

Managing agency Board of Directors — minimum 03 members, including 01 representative of the equity share country.

Board of Control and Board of Management — separation of ownership and management rights.

Investment decisions go through an independent appraisal process and are announced according to the prescribed reporting regime period.

Supervision mechanism

The Board of Directors and the Supervisory Board are responsible for supervising the implementation of the Charter, ensuring that capital is used for the right purposes approved by the General Meeting of Shareholders.
